Please review the following terms of use (“TOU” or “Agreement”) concerning your participation in the US Virtual Notary LLC (“USVN”) Affiliate/Referral Program (“Program”). By enrolling in or participating in the Program, you agree to follow and be bound by this Agreement.
If you do not agree with any of these terms and conditions, do not participate in the Program.
US Virtual Notary LLC (“USVN”) is a lead generation company that facilitates the connection between users and notaries via our web-based technology platform (the “Service”). The terms “we,” “us,” and “our” refer to US Virtual Notary LLC.
PROGRAM OVERVIEW
The Program allows approved affiliates (“Affiliates”) to earn commissions for referring paying customers to USVN through unique coupon codes and referral mechanisms made available by USVN.
An Affiliate is assigned a maximum percentage allowance (“Max Value”). Affiliates may create coupon codes that allocate any portion of this Max Value toward (i) a customer discount and/or (ii) an Affiliate commission, provided that the combined total does not exceed the Max Value.
COMMISSION CREATION AND CONFIRMATION
A commission is created in the “Pending” state whenever:
• A Customer Schedules An Appointment, or
• A Paid Add-On Or Upsell Is Added To An Existing Appointment
A commission remains in the “Pending” state until the notary marks the appointment as completed. Once the appointment is marked complete, all associated commissions will be moved to the “Confirmed” state. Any unpaid add-ons or services will not be confirmed until payment is successfully received.
Commissions will not be issued for:
• Cancellations
• No-Shows
• Unpaid Or Failed Payments
• Appointments Not Marked Completed
• Appointments Found To Violate Program Rules
USVN reserves the right to audit and verify any referred appointment or any associated add-on services.
PAYMENT SCHEDULE AND PAYOUT PROCESS
Confirmed commissions must “mature” for 30 days before they become eligible for payment. This 30-day period begins when the commission enters the “Confirmed” state. The waiting period protects against refunds, chargebacks, reversals, and other post-completion adjustments.
On a monthly basis, USVN will:
• Identify All Unpaid Commissions That Have Been Confirmed For At Least 30 Days
• Group These Mature Commissions Into A Payout Record
• Mark The Commissions As “Sent” (Paid) Once Added To The Payout Record
Payouts are issued as follows:
• Paid Within 45 Days (NET 45) From The Date The Payout Record Is Created
• Paid Exclusively Via PayPal Payouts
• A Valid PayPal Account Is Required To Participate
Affiliates are responsible for maintaining accurate PayPal information.
PAYOUT ELIGIBILITY AND TERMINATION
If an Affiliate is terminated for fraud, misrepresentation, abuse, or any violation of this Agreement, all unpaid commissions—whether Pending or Confirmed—are automatically forfeited.
If an Affiliate is terminated on amicable terms, the Affiliate will:
(i) Cease earning any new commissions as of the termination date, and
(ii) Receive all Confirmed commissions earned prior to termination.
USVN may suspend or terminate any Affiliate at its sole discretion.
BRAND MATERIALS, LOGOS, AND INTELLECTUAL PROPERTY
USVN owns all trademarks, trade names, service marks, proprietary logos, domain names, and other intellectual property associated with the Program and the Service.
Affiliates are granted a limited, non-exclusive, revocable license to use the following USVN-provided materials:
• Graphics
• Logos
• Approved Marketing Materials
• Color Guides
• Brand Assets
Such usage must:
• Follow All Brand Guidelines Provided By USVN
• Maintain The Integrity Of The USVN Brand
• Not Misrepresent USVN In Any Way
• Immediately Cease Upon Suspension Or Termination From The Program
Affiliates may not create derivative works, modify logos, or produce their own branded materials without the express written permission of USVN.
PROHIBITED ACTIVITIES
Participation in the Program requires compliance with the following restrictions. Violations may result in immediate termination and forfeiture of unpaid commissions.
1. Paid Advertising Without Permission
Affiliates may not run paid advertisements of any kind—including but not limited to Google, Bing, Facebook, Instagram, TikTok, YouTube, Twitter/X, or any other PPC or PPM platform—unless USVN provides express written consent.
Affiliates are strictly prohibited from bidding on or targeting:
• “US Virtual Notary”
• Any USVN-Owned Domain Names
• Brand Variations Or Misspellings
• USVN Service Names (Such As “Electronic Apostille Service,” “Online Notary By USVN”)
Any granted permission may be revoked at any time.
2. Misrepresentation Or False Claims
Affiliates may not:
• Present Themselves As Employees, Agents, Or Official Representatives Of USVN
• Imply Any Endorsement Or Formal Partnership
• Provide Legal Advice On Behalf Of USVN
• Make False, Misleading, Or Exaggerated Claims About USVN Services
• Mislead Customers Regarding What USVN Does Or Guarantees
Licensed attorneys or law firms may provide legal advice to their own clients in the normal course of their business, provided they do not present such advice as coming from or endorsed by USVN.
3. Fraudulent Or Manipulative Behavior
Strictly prohibited:
• Generating Fake Referrals Or Bookings
• Incentivizing Cancellations Or Chargebacks
• Using Bots, Scripts, Automation, Or Fraudulent Tools
• Manipulating The Referral System In Any Manner
• Creating Fraudulent Discount/Commission Splits
4. Customer Interaction
Affiliates may not:
• Present Themselves As Providing Support On Behalf Of USVN
• Request Customer Personal Information (PII) About Their USVN Appointment
• Interfere With USVN’s Scheduling, Support, Or Notarization Process
• Misrepresent Their Relationship With USVN
Affiliates may contact and communicate with their own clients in the normal course of their business, provided they do not act as USVN representatives or attempt to access or manage the customer’s USVN appointment.
5. Referrals, Self-Referrals, And Booking On Behalf Of Clients
Affiliates may:
• Refer Their Own Clients
• Book Appointments On Behalf Of Their Clients
• Use Their Coupon Codes As Part Of Their Professional Workflow
Affiliates may not:
• Manipulate The Referral System To Generate Artificial Or Fraudulent Commissions
• Create Or Submit Referrals That Do Not Represent Legitimate Customer Transactions
• Misrepresent Their Role In The Transaction Or Interfere With USVN Processes
USVN reserves the right to decline or reverse commissions in cases of abuse, fraud, or manipulation.
REFUNDS, CHARGEBACKS, AND REVERSALS
USVN may reject, reverse, or revoke commissions for any of the following:
• Refunds
• Chargebacks
• Payment Disputes
• Payment Failures
• Fraudulent Activity
• Violations Of Program Rules
• Appointments Not Completed Successfully
USVN’s determination is final.
COMPLIANCE
The Program is open worldwide, except where participation violates local or United States law. Affiliates are solely responsible for ensuring compliance with applicable:
• Laws
• Tax Obligations
• Marketing Regulations
• Disclosures
• Data Protection Requirements
Any violation may result in suspension or termination.
PROGRAM CHANGES
USVN reserves the explicit right, at its sole discretion, to:
• Modify Commission Rates
• Change Program Rules Or Guidelines
• Suspend Or Terminate The Program
• Modify Payout Schedules
• Revoke Affiliate Participation
The most current version of this Agreement will supersede all previous versions.
NO WARRANTIES OR REPRESENTATIONS
USVN provides the Program on an “as is” and “as available” basis and disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. USVN does not warrant that the Program will be uninterrupted or error-free.
LIMITATION OF LIABILITY
Except for bodily injury, fraud, or intentional misconduct, USVN and its officers, affiliates, employees, contractors, suppliers, and representatives shall not be liable for:
• Loss Of Commissions Due To Incorrect Affiliate Information
• Data Loss Or Corruption
• Indirect, Incidental, Special, Punitive, Or Consequential Damages
• Technical Failures Affecting Tracking Or Reporting
• Any Amount Exceeding The Commissions Actually Earned And Payable To The Affiliate
Some jurisdictions may not allow certain exclusions; some limitations may not apply.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless USVN and its officers, directors, employees, agents, successors, and assigns from any and all losses, claims, actions, or damages arising from:
• Your Participation In The Program
• Your Marketing Activities
• Your Misuse Of USVN Brand Assets
• Your Violation Of Any Law Or Regulation
• Your Breach Of This Agreement
Your indemnification obligations will not apply in instances of USVN’s sole fault, gross negligence, or willful misconduct.
DISPUTE RESOLUTION
This Agreement shall be interpreted and governed by the laws of the State of New York. Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration in Suffolk County, New York before one arbiter, administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the award may be entered in any court having jurisdiction.
You hereby waive any right to commence or participate in any class action lawsuit against USVN.
SEVERABILITY
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the original intent.
ENTIRE AGREEMENT / MODIFICATION
This Agreement constitutes the entire agreement between you and USVN relating to your participation in the Program. USVN reserves the explicit right, in its sole discretion, to change this TOU. The most current version will supersede all previous versions. Continued participation in the Program constitutes acceptance of any updated terms.
